LOEHMANN’S INSIDER CLUB GOLD PROGRAM TERMS AND CONDITIONS

These terms and conditions (this "Agreement") govern the Loehmann’s Insider Club Gold Program (the “Insider Club Gold Program”). The Insider Club Gold Program is a program brought to you by Loehmann’s, Inc. ( "we," "us," "our," "ours"). Purchase or use of any membership in the Insider Club Gold Program ("Membership") at any time subjects the purchaser or user ("you," "your," "yours," "Member") to the provisions of this Agreement.

  1. BENEFITS. The Insider Club Gold Program entitles Members to the following benefits:
    1. Everyday discount equal to 10% off the marked Loehmann’s selling price of all eligible merchandise at any Loehmann’s store.
    2. Loehmann’s size search service where at your request we will try to find your size in any particular item and ship it right to you free of any shipping fees (free shipping will not apply to clearance items).
    3. 15% birthday discount on all of your purchases of eligible merchandise any one day of your choice during your birthday calendar month which may not be combined with your everyday 10% discount. However, your 15% birthday discount may be combined with any other available Loehmann’s coupons or special offers except where otherwise noted.
    4. Advance notice of sales and events.
    5. Special offers and discounts.
    6. Email announcements.
  2. CERTAIN CONDITIONS.
    1. For any Member's discount or other benefit to apply, the Membership account must be in effect at the time of purchase. Members will NOT be reimbursed or credited retroactively for purchases made without a Member discount at the time of purchase.
    2. Member's everyday discount and birthday discount are only valid on eligible purchases at any Loehmann’s store. An eligible purchase is a purchase of any merchandise except the following items: Gift Cards; shipping or handling fees; magazine subscriptions; taxes; or Membership fees (new or renewal).
    3. Member’s everyday discount may be combined with any other available Loehmann’s coupons or special offers, except where otherwise noted. However, the Member may always choose to apply another offer instead of using the Member’s everyday discount.
    4. Memberships are non-transferable.
    5. Members agree to submit and maintain accurate and current user information in connection with their Memberships. Such information includes name, address, email address, and telephone number. Members may change their account information by:
      1. updating Member profile data through www.loehmanns.com,
      2. requesting an update from a cashier at any Loehmann’s store, or
      3. calling us at (800) 366-5634 ext. 4781.

      We are not responsible for correspondence that is lost, delayed, or misdirected.

    6. Members agree that we may track their purchases to provide benefits and serve them better.
    7. Members agree to present their Insider Club Gold Card at the time of purchase so that they will be able to receive Insider Club Gold benefits. If Member does not have the Insider Club Gold Card at the time of purchase, Member consents to being asked at the point of sale or elsewhere for Member’s name and telephone number (or other contact information) so that we may confirm your Membership or update your account. Member also acknowledges that providing information is not required to complete a purchase transaction and is done voluntarily.
  3. MEMBERSHIP FEE. The annual Membership fee is currently $25. We may change the Membership fee at any time, but changes will apply only to new and renewal Memberships. The fee is not refundable.
  4. TERM; RENEWAL. The initial term of a Membership shall commence on the date it is purchased and continue until one year from the last day of the calendar month in which the Membership was purchased. At the end of the initial term, the Membership is renewable for another one-year period by payment of the membership fee in effect at the time of renewal to the cashier at any Loehmann’s store and, when available, online. The Membership is renewable for successive one year periods by the same method.
  5. CANCELLATION; TERMINATION.
    1. You have the right to cancel your Membership at any time. If you cancel your Membership, you will not receive any refund of the membership fee. You may cancel your Membership by calling us at (800) 366-5634 ext. 4781.
    2. We may terminate your Membership, without notice, for any reason in our sole discretion, including without limitation our belief that continued use of such Membership would violate any provision of this Agreement or applicable law. In the event of any such termination, you will be entitled to a pro rata refund of your Membership fee.
    3. We may modify or substitute any of the benefits available under the Insider Club Gold Program at any time with or without notice. In the event of our termination of this program, at our election we will either maintain your Membership benefits to the extent possible until expiration of your current Membership term or refund a pro rata portion of your membership fee for the remaining portion of your current Membership term.
  6. MEMBER PRIVACY POLICY. As a Member, the information we capture will be subject to the Loehmann’s Privacy Policy as amended from time to time in accordance with its terms. You may view the current version of the Loehmann’s Privacy Policy at any time online at www.loehmanns.com or you may obtain a copy of it by calling (800) 366-5634 ext. 4781.
  7. DISCLAIMERS; LIMITATION OF LIABILITY. USE OF THE INSIDER CLUB GOLD PROGRAM AND ANY OF ITS ASSOCIATED BENEFITS IS AT YOUR SOLE RISK. THE MEMBERSHIP BENEFITS ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. LOEHMANN’S, INC. AND ITS PARENTS, SUBSIDIARIES, AFFILIATES, DIRECTORS, OFFICERS AND AGENTS (COLLECTIVELY "MEMBERSHIP PROVIDERS") EXPRESSLY DISCLAIM ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. MEMBERSHIP PROVIDERS MAKE NO WARRANTY THAT :
    1. THE INSIDER CLUB GOLD PROGRAM WILL MEET YOUR REQUIREMENTS,
    2. THE INSIDER CLUB GOLD PROGRAM WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, OR
    3. THE QUALITY OF ANY PRODUCTS, SERVICES, INFORMATION, OR OTHER MATERIAL PURCHASED OR OBTAINED BY YOU FROM YOUR USE OF THE INSIDER CLUB GOLD PROGRAM WILL MEET YOUR EXPECTATIONS. MEMBERSHIP PROVIDERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA OR OTHER INTANGIBLE LOSSES (EVEN IF MEMBERSHIP PROVIDER HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES), RESULTING FROM:
      1. THE USE OR THE INABILITY TO USE THE INSIDER CLUB GOLD PROGRAM OR ANY BENEFITS THEREOF;
      2. THE COST OF PROCUREMENT OF SUBSTITUTE GOODS AND SERVICES RESULTING FROM ANY GOODS, DATA, INFORMATION OR SERVICES PURCHASED OR OBTAINED OR MESSAGES RECEIVED OR TRANSACTIONS ENTERED VIA THE USE THE INSIDER CLUB GOLD PROGRAM;
      3. UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR INSIDER CLUB GOLD PROGRAM DATA; OR
      4. ANY OTHER MATTER RELATING TO THE INSIDER CLUB GOLD PROGRAM. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL, CONSEQUENTIAL OR OTHER DAMAGES. ACCORDINGLY, SOME OF THE ABOVE LIMITATIONS AND EXCLUSIONS MAY NOT APPLY TO YOU.
  8. GOVERNING LAW. This Agreement, and the respective rights and obligations of the parties hereunder, shall be governed by, and construed in accordance with, the laws of the State of New York, without regard to conflict of law principles.
  9. CONSENT TO JURISDICTION. If you take any legal action relating to your use of the Loehmann’s Insider Club Gold Program or this Agreement, you agree to file such action only in the state or federal courts located in New York County, New York. You agree to submit to the personal jurisdiction of the courts located in New York County, New York, for the purpose of litigating any such legal action.
  10. ACKNOWLEDGMENT. This Agreement, including all documents referenced herein, represents the entire understanding between us and any user of the Insider Club Gold Program with respect to the Insider Club Gold Program and supersedes any other agreements, statements or representations. Any user of any portion of the Insider Club Gold Program is deemed to have accepted the terms and conditions of this Agreement.
  11. CHANGES TO THIS AGREEMENT. We may change the terms of this Agreement at any time by posting a revised Agreement on the Member Program website located at www.loehmanns.com. We may also notify Members of such change in writing by regular mail or via email to the address in the Member's account. Any change shall take effect immediately, unless otherwise provided. You may view the current version of this Agreement at any time online at www.loehmanns.com or you may obtain a copy of it by calling (800) 366-5634 ext. 4781.
  12. Only United States residents with a United States postal address may participate.
  13. EMPLOYEES OF LOEHMANN’S ARE NOT ELIGIBLE TO PARTICIPATE

LOEHMANN’S INSIDER CLUB DIAMOND PROGRAM TERMS AND CONDITIONS

These terms and conditions (this "Agreement") govern the Loehmann’s Insider Club Diamond Program (the “Insider Club Diamond Program”). The Insider Club Diamond Program is a program brought to you by Loehmann’s, Inc. ( "we," "us," "our," "ours"). Use of any membership in the Insider Club Diamond Program ("Membership") at any time subjects the user ("you," "your," "yours," "Member") to the provisions of this Agreement.

  1. BENEFITS. The Insider Club Diamond Program entitles Members to the following benefits:
    1. Everyday discount equal to 10% off the marked Loehmann’s selling price of all eligible merchandise at any Loehmann’s store.
    2. Extended return policy – return merchandise within thirty (30) days after purchase for a refund.
    3. For any purchase over $200 we will ship it to you free of any shipping fees.
    4. Loehmann’s size search service where at your request we will try to find your size in any particular item and ship it right to you free of any shipping fees (free shipping will not apply to clearance items).
    5. Free gift boxes will be available to you with your purchases from the day after Thanksgiving through December 24th.
    6. 15% birthday discount on all of your purchases of eligible merchandise any one day of your choice during your birthday calendar month which may be combined with your everyday 10% discount.

  3. ELIGIBILITY; TERM.
    • The term of all Insider Club Diamond Program Memberships issued prior to April 30, 2010 shall commence on the date you receive your Membership card and will terminate on April 30, 2011.
    • Commencing May 1, 2010, only Members of Loehmann’s Insider Club Gold Program who have made eligible purchases of more than $2,000 in the 12 months prior to the expiration of their Insider Club Gold Program Membership (less the number of days from the 27th to the end of the month in which your Membership expires) , will be automatically enrolled in Loehmann’s Insider Club Diamond Program commencing on the first day of the month following the expiration of your Insider Club Gold Program Membership and we will send you your Insider Club Diamond Membership card on or about the fifteenth (15th) day of that month. We will make the determination reqarding eligibility for the Insider Club Diamond Program on the 27th day of the month in which your Loehmann’s Insider Club Gold Program Membership expires. Accordingly, you must have made eligible purchases of more than $2,000 from the first day of your current Membership year through the 27th day of the month in which your Membership expires. By way of example, if on April 30, 2010 your Loehmann’s Insider Club Gold Program Membership expired and you made eligible purchases of more than $2,000 between May 1, 2009 and April 27, 2010, you will be automatically enrolled in Loehmann’s Insider Club Diamond Program as of May 1, 2010 and you will receive a Membership card on or before May 15, 2010. If upon receipt of notice of your enrollment in the program you would like to cancel your Membership you may do so at anytime by speaking with a cashier at any Loehmann’s store or calling us at (800) 366-5634 ext. 4781.
    • Each Insider Club Diamond Membership will expire 12 months from the date of issuance. For example, if your Membership commenced on May 1, 2010 it will expire on April 30th, 2011.
    • We will notify you by regular mail or via email to the address in the Member’s account if you have qualified for Membership in Loehmann’s Insider Club Diamond Program on or about the fifteenth (15th) day of the month in which your Membership in the Loehmann’s Insider Club Diamond Program commenced and all determinations by Loehmann’s regarding membership in the Insider Club Diamond Program shall be final and binding. During the period from the first to the fifteenth day of any calendar month you may find out if you have qualified for an Insider Club Diamond Program Membership by speaking with a cashier at any Loehmann’s store or calling us at (800) 366-5634 ext. 4781.
    • In the event that you have made eligible purchases of more than $2,000 in the 12 months prior to the expiration of your Loehmann’s Insider Club Diamond Program Membership (less the number of days from the 27th to the end of the month in which your Membership expires), your Membership will be automatically renewed for an additional 12 month period.
  4. CANCELLATION; TERMINATION.
    1. You have the right to cancel your Membership at any time. You may cancel your Membership by speaking with a cashier at any Loehmann’s store or calling us at (800) 366-5634 ext. 4781.
    2. We may terminate your Membership at any time, without notice, for any reason in our sole discretion, including without limitation our belief that continued use of such Membership would violate any provision of this Agreement or applicable law.
    3. We may modify or substitute any of the benefits available under the Insider Club Diamond Program and we may terminate the Insider Club Diamond Program at any time with or without notice. In the event of our termination of this program, we will to the extent possible maintain your Membership benefits until expiration of your current Membership term.

    1. THE INSIDER CLUB DIAMOND PROGRAM WILL MEET YOUR REQUIREMENTS,
    2. THE INSIDER CLUB DIAMOND PROGRAM WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, OR
    3. THE QUALITY OF ANY PRODUCTS, SERVICES, INFORMATION, OR OTHER MATERIAL PURCHASED OR OBTAINED BY YOU FROM YOUR USE OF THE INSIDER CLUB DIAMOND PROGRAM WILL MEET YOUR EXPECTATIONS. MEMBERSHIP PROVIDERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA OR OTHER INTANGIBLE LOSSES (EVEN IF MEMBERSHIP PROVIDERS HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES), RESULTING FROM:
