A PURCHASE OR PAYMENT OF ANY KIND WILL NOT INCREASE YOUR CHANCES OF WINNING. VOID WHERE PROHIBITED BY LAW.

1. ELIGIBILITY: The Loehmann’s Hollywood Style Sweepstakes (the “Sweepstakes”) is open only to legal residents of the State of California who are eighteen (18) years of age or older (or the age of majority in their jurisdiction, whichever is greater) as of 3/12/2010. Employees and their immediate family members (defined as parents, children, siblings and spouse and their respective spouses, regardless of where they reside) and household members, whether or not related, of Loehmann’s Holdings Inc. (“Sponsor”), NMA Entertainment & Marketing (“Administrator”), SpaFinder, Inc., (“Promotional Partners”) and their respective affiliates, subsidiaries, parent and related companies, and advertising and promotion agencies (collectively, the “Promotional Parties”) are not eligible to enter or win. This Sweepstakes is void where prohibited or restricted by law. All entries made by residents outside the area of eligibility specified above shall not be eligible and will be disqualified. By entering this Sweepstakes, entrants unconditionally agree to abide by all terms of these Official Rules and the decisions of Sponsor and Administrator, which shall be final and binding in all respects.

2. PROMOTION PERIOD: The Sweepstakes runs for the following five (5) consecutive periods of approximately eight (8) days each: All five promotion periods are sometimes herein referred to, collectively, as the “Entire Promotion Period” and each of the five promotion periods is sometimes herein referred to as a “Promotion Period.” The Entire Promotion Period runs from 3/12/2010 to 4/21/2010.

Beginning on 3/12/2010 and ending on 3/19/2010 (“First Promotion Period”); Beginning on 3/20/2010 and ending on 3/27/2010 (“Second Promotion Period”); Beginning on 3/28/2010 and ending on 4/5/2010 (“Third Promotion Period”); Beginning on 4/6/2010 and ending on 4/13/2010 (“Fourth Promotion Period”); and Beginning on 4/14/2010 and ending on 4/21/2010 (“Fifth Promotion Period”). To be eligible, In-Store entries must be received during the applicable Promotion Period and no later than the close of business on the last day of the applicable Promotion Period at the participating Loehmann’s retail location, which is Loehmann’s Costa Mesa, California, located at 901-M South Coast Drive, Costa Mesa, CA, 92626 (the “Participating Retail Location”), and Mail-In entries must be postmarked on or between the applicable Promotion Period dates and received no later than the following dates: For the First Promotion Period: 3/12/2010 and 3/19/2010 and received no later than 3/25/2010; for the Second Promotion Period: 3/20/2010 and 3/27/2010 and received no later than 4/2/2010; for the Third Promotion Period: 3/28/2010 and 4/5/2010 and received no later than 4/12/2010; for the Fourth Promotion Period: 4/6/2010 and 4/13/2010 and received no later than 4/20/2010; and for the Fifth Promotion Period: 4/14/2010 and 4/21/2010 and received no later than 4/28/2010. One (1) First Prize will be awarded at the end of each Promotion Period and one (1) Grand Prize will be awarded in the Grand Prize drawing (“Grand Prize Drawing”), from among all eligible entries received throughout the Entire Promotion Period, on or about the end of the Entire Promotion Period.

3. HOW TO ENTER: No purchase necessary to enter or win. A purchase will not increase your chances of winning. There are three (3) ways to enter the Sweepstakes. Entries are limited to one (1) entry per person/household per day regardless of method of entry. Non-winning eligible entries that are received during any applicable Promotion Period, will not carry over into the next applicable Promotion Period drawing (if any), however, all eligible entries will be entered into the Grand Prize drawing. Therefore, each entrant may earn a total of forty-one (41) entries into the Grand Prize Drawing. All duplicate entries will be disqualified and could result in disqualification from participating in the Sweepstakes.

A. Loehmann’s Insider Club Members (“Members”) will automatically receive one (1) entry to the Sweepstakes when they make a purchase at the Participating Retail Location during each Promotion Period: Beginning at the start of the store operating hours (local time of Participating Retail Location) on the first day of each Promotion Period, and continuing until the close of business (local time of Participating Retail Location) on the last day of each Promotion Period, Members who make a purchase at the Participating Retail Location during the applicable Promotion Period will automatically receive one (1) entry to the Sweepstakes for that Promotion Period and one corresponding entry into the Grand Prize Drawing.

B. Consumers will receive one (1) entry to the Sweepstakes when they make a purchase at the Participating Retail Location during each Promotion Period and provide their name, address, and telephone number and/or email address to the cashier. Beginning at the start of the store operating hours (local time of Participating Retail Locations) on the first day of each Promotion Period, and continuing until the close of business (local time of Participating Retail Location) on the last day of each Promotion Period, consumers will receive one entry to the Sweepstakes for that Promotion Period, and one corresponding entry into the Grand Prize Drawing, when they make a purchase at the Participating Retail Location during the applicable Promotion Period, request to be entered at the cash desk, and provide their name, address, telephone number and/or email address to the cashier.

C. Enter Via Mail-In Method: To receive an entry to the Sweepstakes without visiting the Participating Retail Location or making a purchase, beginning on 3/12/2010 you may enter via the mail-in method of entry by hand printing in ink on a 3” x 5” piece of paper your full name, address, city, state, zip code, daytime phone number, date of birth, e-mail address and indicating the date and Promotion Period to which you are submitting an entry, and mailing it in a self-addressed, stamped envelope to: The Loehmann’s Hollywood Style Sweepstakes, c/o NMA Entertainment & Marketing, 71 Elm Street, Unit 8, Foxboro, MA 02035 (“Mail-In Entry”). In the event that you mail your mail-in entry on a Monday and it is postmarked on that day, you may indicate that this entry should be valid for two (2) entries, for the Monday and the immediately preceding Sunday. All Mail-In Entries must be postmarked no later than the last day of the applicable Promotion Period and received no later than the date set forth above for receipt of Mail-In entries for the applicable Promotion Period under the caption “Promotional Period”.

All Entries: All entries must be complete to be eligible. The Promotional Parties and all of their respective officers, directors, shareholders, employees and agents (collectively, the “Released Parties”) assume no responsibility for lost, late, incomplete, stolen, mutilated, misdirected, or illegible entries and are not responsible for any incorrect or inaccurate entry information, human errors, technical malfunctions, failures, omissions, interruptions, deletions or defects, of any telephone network, computer online systems, computer equipment, servers, providers, or software, including without limitation any injury or damage to entrant’s or any other person’s computer relating to or resulting from the Sweepstakes; inability to access Loehmann’s web site; theft, tampering, destruction, or unauthorized access to, or alteration of entries; transactions or data that is processed late or incorrectly or is incomplete or lost for any reason whatsoever; or for any other errors or problems of any kind, whether technical, typographical, printing, human or otherwise, including, without limitation, errors or problems which may occur in connection with the administration of the Sweepstakes. Proof of mailing entry is not considered proof of delivery or receipt. All materials submitted in connection with this Sweepstakes become the property of the Sponsor and will not be returned. False, fraudulent or deceptive entries or acts shall render entrants ineligible. Decisions of the Sponsor and Administrator are and shall be final and binding in all matters relating to this Sweepstakes.

4. WINNER SELECTION/NOTIFICATION: On the following dates the potential winners for each Promotion Period will be randomly selected in a drawing from among all eligible entries received via the In-Store and Mail-In methods of entry during the applicable Promotion Period, and the Grand Prize Drawing will be conducted from among all eligible entries throughout the Entire
Promotion Period, regardless of method;

Administrator, who is an independent judging agency, will conduct the drawings. On the drawing date for the First, Second, Third, Fourth and Fifth Promotion Periods, one (1) potential winner will be selected for one (1) First Prize and on the Grand Prize Drawing date one (1) Grand Prize potential winner will be selected. On or about the seventh day (excluding Saturday and Sunday) following the drawing date for the applicable Promotion Period and following the Grand Prize Drawing date, the potential winners will be notified by telephone and/or mail and/or email using the contact information provided at the time of entry. Sponsor shall have no liability for any winner notification that is lost, intercepted or not received by the potential winner for any reason. If, despite reasonable efforts, a potential winner does not respond within seventy-two (72) hours of the first notification attempt (or such shorter time as exigencies may require), or if the prize or prize notification is returned as unclaimed or undeliverable to such potential winner, such potential winner will forfeit his or her prize and an alternate winner will be selected. If any potential winner is found to be ineligible, or if he or she has not complied with these Official Rules or declines a prize for any reason prior to award, such potential winner will be disqualified and an alternate winner will be selected. All prizes will be awarded, provided a sufficient number of eligible entries are received. If Sponsor so elects, a potential winner may be required to submit to, and cooperate in, a confidential background check to confirm eligibility and to help ensure that the use of any such person in advertising or publicity for the Sweepstakes will not bring the Released Parties into public disrepute, contempt, scandal or ridicule or reflect unfavorably on the Sweepstakes or the Released Parties as determined by Sponsor in its sole discretion.

5. ODDS / PRIZES AND APPROXIMATE RETAIL VALUE (ARV): The odds of winning the Grand Prize and/or a First Prize depend on the total number of eligible entries received. One (1) Grand Prize and five (5) First Prizes will be awarded during the Entire Promotion Period. (Total ARV of all prizes: $8,500.00.) All potential winners are subject to verification.

One (1) Grand Prize (ARV: $3,500.00): One (1) Grand Prize will be awarded that consists of a pair of tickets for the winner and a guest to a Hollywood awards show where the winner and guest will walk the red carpet, attend the awards show and an exclusive after-awards-show party. The date and choice of awards show and after-awards-show party is at the discretion of the Sponsor and no substitutions are permitted if the winner is unavailable or otherwise unable to attend on the date of the chosen awards show. The Grand Prize will also include a one thousand dollar ($1,000.00) Gift Certificate (for the winner only) for shopping at Loehmann’s and a five hundred dollar ($500) SpaFinder Gift Certificate (for the winner only). Restrictions and an expiration date may apply to the gift certificate. If Winner is unable to attend the awards show and/or after-awards-show party, then Winner will be provided with the one thousand dollar ($1,000.00) Gift Certificate for shopping at Loehmann’s and the five hundred dollar ($500) SpaFinder Gift Certificate, and the balance of the Grand Prize will be forfeited, with no additional or substituted compensation to the Grand Prize winner, and Sponsor’s obligation to said Grand Prize winner will be deemed fulfilled. If Winner is deemed a minor in his/her jurisdiction, he/she must be accompanied by a parent or legal guardian. All expenses and costs not expressly listed above, including but not limited to transportation, are entirely the Grand Prize winner’s responsibility. The prize is nontransferable and non-refundable and must be accepted as awarded. Sponsor has the final authority on the interpretation of these prize terms.

Five (5) First Prizes (ARV: $1,000.00 each): Five (5) First Prizes will be awarded in the form of one (1) one thousand dollar ($1,000.00) Loehmann’s gift certificate to each winner. Restrictions and an expiration date may apply to all gift certificates awarded as First Prizes.

6. GENERAL PRIZE CONDITIONS: Prizes will be awarded only if the potential winners fully comply with these Official Rules. Limit: one First Prize per person/household/email address, however, a winner of a First Prize in any Promotion Period is still eligible to win the Grand Prize. Prizes are non-assignable and non-transferable. The prize winners shall be solely responsible for all federal, state and/or local taxes, and the reporting consequences thereof, and for any other fees or costs associated with the prizes. No cash alternative or substitution of prizes allowed, except that Sponsor reserves the right, in its sole and absolute discretion, to substitute a prize of equal or greater value, if the prize is unavailable, in whole or in part, for any reason. The potential winners of prizes valued at over $599 will be required to execute an Affidavit of Eligibility, a Liability Release, and (where imposing such condition is legal) a Publicity Release (collectively, “Prize Claim Documents”). If any potential winner fails or refuses to sign and return all Prize Claim Documents within five (5) days of prize notification (or such shorter time if exigencies so require), the winner may be disqualified and an alternate potential winner will be selected. The Grand Prize winner’s Guest must sign and return a Liability/Publicity Release as well, prior to travel. Prizes are awarded “AS IS” and WITHOUT WARRANTY OF ANY KIND, express or implied, including, without limitation, any implied warranty of merchantability or fitness for a particular purpose.

7. PRIVACY: Sponsor will use the information obtained from participation in this Sweepstakes in accordance with Sponsor’s privacy policy, available at www.Loehmanns.com. By entering the sweepstakes, entrant affirms that they have read, accepted and agreed to be bound by these Official Rules and the terms and conditions of said privacy policy.

8. GENERAL LIABILITY RELEASE / FORCE MAJEURE: Acceptance of a prize constitutes winner’s permission for Sponsor to use winner’s name, photograph, likeness, voice, biographical information, statements and address (city and state) for advertising and/or publicity purposes worldwide and in all forms of media now known or hereafter developed, in perpetuity, without further compensation (where legal). Entrant agrees that the Released Parties A) shall not be responsible or liable for, and are hereby released from, any and all costs, injuries, losses or damages of any kind, including, without limitation, death and bodily injury, due in whole or in part, directly or indirectly, to participation in the Sweepstakes or any Sweepstakes-related activity, or from entrants’ acceptance, receipt, possession and/or use or misuse of any prize, and B) have not made any warranty, representation or guarantee, express or implied, in fact or in law, with respect to any prize, including without limitation, to such prize’s quality or fitness for a particular purpose. Sponsor assumes no responsibility for incomplete, illegible, misdirected, misprinted, late, lost, damaged, stolen, or postage-due submissions or prize notifications. Sponsor reserves the right in its sole discretion to disqualify any individual who is found to be tampering with the entry process or the operation of the Sweepstakes, to be acting in violation of these Official Rules, or to be acting in an unsportsmanlike or disruptive manner, or with the intent to disrupt or undermine the legitimate operation of the Sweepstakes, or to annoy, abuse, threaten or harass any other person, and Sponsor reserves the right to seek damages and other remedies from any such person to the fullest extent permitted by law. No mechanically reproduced, illegible, incomplete, forged, or software generated entries will be accepted. These Official Rules cannot be modified or amended in any way except in a written document by a duly authorized representative of Sponsor. The invalidity or unenforceability of any provision of these Official Rules shall not affect the validity or enforceability of any other provision. In the event that any provision is determined to be invalid or otherwise unenforceable or illegal, these Official Rules shall otherwise remain in effect and shall be construed in accordance with their terms as if the invalid or illegal provision were not contained herein. If for any reason, the Sweepstakes is not capable of running as planned, including tampering, unauthorized intervention, fraud, technical failures, acts of god, or any other cause which could effect the administration, security, fairness or integrity of the Sweepstakes, Sponsor reserves the right, in its sole discretion, to cancel, modify or terminate the Sweepstakes. In the event of such cancellation, prizes will be awarded in a random drawing from all eligible, non-suspect entries received prior to cancellation, if any.

9. GOVERNING LAW/JURISDICTION:ALL ISSUES AND QUESTIONS CONCERNING THE CONSTRUCTION, VALIDITY, INTERPRETATION AND ENFORCEABILITY OF THESE OFFICIAL RULES OR THE RIGHTS AND OBLIGATIONS OF ENTRANTS OR SPONSOR IN CONNECTION WITH THE SWEEPSTAKES SHALL BE GOVERNED BY AND CONSTRUED IN ACCORDANCE WITH THE INTERNAL LAWS OF THE STATE OF NEW YORK WITHOUT GIVING EFFECT TO ANY CHOICE OF LAW OR CONFLICT OF LAW RULES OR PROVISIONS THAT WOULD CAUSE THE APPLICATION OF ANY OTHER STATE’S LAWS.

10. WINNER'S LIST/OFFICIAL RULES: To obtain a copy of the winners list, after the Sweepstakes has ended, send a self-addressed stamped envelope to: Loehmann’s Hollywood Style Sweepstakes, c/o NMA Entertainment & Marketing, 71 Elm Street, Unit 8, Foxboro, MA 02035. All winners list requests must be postmarked by 5/30/2010 and received no later than 6/15/2010.
