NO PURCHASE NECESSARY TO ENTER OR WIN. A PURCHASE OR PAYMENT OF ANY KIND WILL NOT INCREASE YOUR CHANCES OF WINNING. VOID WHERE PROHIBITED BY LAW.

1. ELIGIBILITY The Win IT at Loehmann’s 2009 Holiday Sweepstakes (the “Sweepstakes”) is open only to legal residents of the fifty (50) United States and the District of Columbia, who are eighteen (18) years of age or older (or the age of majority in their jurisdiction, whichever is greater) as of 11/30/2009. Employees and their immediate family members (defined as parents, children, siblings and spouse and their respective spouses, regardless of where they reside) and household members, whether or not related, of Loehmann’s Holdings Inc. (“Sponsor”), NMA Entertainment & Marketing (“Administrator”), SpaFinder, Inc., JetBlue Airways Corp., Unique Vacations, Inc., (“Promotional Partners”) and their respective affiliates, subsidiaries, parent and related companies, and advertising and promotion agencies (collectively, the “Promotional Parties”) are not eligible to enter or win. This Sweepstakes is void in Puerto Rico and where prohibited or restricted by law. All entries made by residents outside the areas of eligibility specified above shall not be eligible and will be disqualified. By entering this Sweepstakes, entrants unconditionally agree to abide by all terms of these Official Rules and the decisions of Sponsor and Administrator, which shall be final and binding in all respects.

2. PROMOTION PERIOD:The Sweepstakes begins at 12:00:01 am PT (midnight) on 11/30/2009 and ends at 11:59:59 pm PT on 12/24/2009 (the “Promotion Period”). To be eligible, In-Store entries must be received during the Promotion Period and no later than the close of business on 12/24/2009 at any Loehmann’s retail location (all Loehmann’s stores are participating in the Sweepstakes, accordingly “Participating Retail Locations” means all Loehmann’s retail stores), and Mail-In entries must be postmarked on or between 11/30/2009 and 12/24/2009 and received no later than 1/5/2010.

3. HOW TO ENTER:No purchase necessary to enter or win. A purchase will not increase your chances of winning. There are three (3) ways to enter the Sweepstakes. Entries are limited to one (1) entry per person/household per day regardless of method of entry. For purposes of these Official Rules, a day is considered to begin at 12:00:01 am PT and end at 11:59:59 pm PT. The computer clock of Administrator is the official timekeeping device for the Sweepstakes. Each entrant may earn a total of twenty-five (25) entries for the entire Sweepstakes Period. All duplicate entries will be disqualified and could result in disqualification from participating in the Sweepstakes.

A. Loehmann’s Insider Club Members (“Members”) will automatically receive one (1) entry to the Sweepstakes when they make a purchase at any Loehmann’s retail store during the Promotion Period: Beginning at the start of the store operating hours (local time of Participating Retail Locations apply) on 11/30/2009, and continuing until the close of business (local time of Participating Retail Locations apply) on 12/24/2009, Members who make a purchase at any Participating Retail Location during the Promotion Period will automatically receive one (1) entry tothe Sweepstakes.

B. Consumers will receive one entry to the Sweepstakes when they make a purchase at any Loehmann’s retail store during the Promotion Period and provide their name, address, and telephone number and/or email address to the cashier. Beginning at the start of the store operating hours (local time of Participating Retail Locations apply) on 11/30/2009, and continuing until the close of business (local time of Participating Retail Locations apply) on 12/24/2009, consumers will receive one entry to the Sweepstakes when they make a purchase at any Loehmann’s retail store during the Promotion Period, request to be entered at the cash desk, and provide their name, address, telephone number and/or email address to the cashier.

C. Enter Via Mail-In Method: To receive an entry to the Sweepstakes without visiting a Participating Retail Location or making a purchase, beginning on 11/30/2009 you may enter via the mail-in method of entry by hand printing in ink on a 3” x 5” piece of paper your full name, address, city, state, zip code, daytime phone number, date of birth and e-mail address and mailing it in a self-addressed, stamped envelope to: The Win IT at Loehmann’s 2009 Holiday Sweepstakes, c/o NMA Entertainment & Marketing, 71 Elm Street, Unit 8, Foxboro, MA 02035 (“Mail-In Entry”). All Mail-In Entries must be postmarked no later than 12/24/2009 and received no later than 1/5/2010 to be eligible.

All Entries: All entries must be complete to be eligible. The Promotional Parties and all of their respective officers, directors, shareholders, employees and agents (collectively, the “Released Parties”) assume no responsibility for lost, late, incomplete, stolen, mutilated, misdirected, or illegible entries and are not responsible for any incorrect or inaccurate entry information, human errors, technical malfunctions, failures, omissions, interruptions, deletions or defects, of any telephone network, computer online systems, computer equipment, servers, providers, or software, including without limitation any injury or damage to entrant’s or any other person’s computer relating to or resulting from the Sweepstakes; inability to access Loehmann’s web site; theft, tampering, destruction, or unauthorized access to, or alteration of entries; transactions or data that is processed late or incorrectly or is incomplete or lost for any reason whatsoever; or for any other errors or problems of any kind, whether technical, typographical, printing, human or otherwise, including, without limitation, errors or problems which may occur in connection with the administration of the Sweepstakes. Proof of mailing entry is not considered proof of delivery or receipt. All materials submitted in connection with this Sweepstakes become the property of the Sponsor and will not be returned. False, fraudulent or deceptive entries or acts shall render entrants ineligible. Decisions of the Sponsor and Administrator are and shall be final and binding in all matters relating to this Sweepstakes.

4. WINNER SELECTION/NOTIFICATION: On 1/15/2010, the potential winners will be randomly selected in a drawing from among all eligible entries received via the In-Store and Mail-In methods of entry during the Promotion Period. Administrator, who is an independent judging agency, will conduct the drawings. The five (5) First Prize potential winners will be selected first, followed by the ten (10) Second Prize potential winners, followed by the one (1) Third Prize potential winner, followed by the two (2) Fourth Prize potential winners, followed by the one (1) Grand Prize potential winner. On or about 1/22/09, the potential winners will be notified by telephone and/or mail and/or email using the contact information provided at the time of entry. Sponsor shall have no liability for any winner notification that is lost, intercepted or not received by the potential winner for any reason. If, despite reasonable efforts, a potential winner does not respond within seventy-two (72) hours of the first notification attempt (or such shorter time as exigencies may require), or if the prize or prize notification is returned as unclaimed or undeliverable to such potential winner, such potential winner will forfeit his or her prize and an alternate winner will be selected. If any potential winner is found to be ineligible, or if he or she has not complied with these Official Rules or declines a prize for any reason prior to award, such potential winner will be disqualified and an alternate winner will be selected.All prizes will be awarded, provided a sufficient number of eligible entries are received. . If Sponsor so elects, a potential winner may be required to submit to, and cooperate in, a confidential background check to confirm eligibility and to help ensure that the use of any such person in advertising or publicity for the Sweepstakes will not bring the Released Parties into public disrepute, contempt, scandal or ridicule or reflect unfavorably on the Sweepstakes or Released Parties as determined by Sponsor in its sole discretion.

5. ODDS / PRIZES AND APPROXIMATE RETAIL VALUE (ARV): The odds of winning Grand Prize, First Prize, Second Prize, Third Prize or Fourth Prize depend on the total number of eligible entries received. One (1) Grand Prize, five (5) First Prizes, ten (10) Second Prizes, one (1) Third Prize, and two (2) Fourth Prizes will be awarded. Total ARV of all prizes: $27,600. All potential winners are subject to verification.

One (1) Grand Prize (ARV: $3,100): One (1) Grand Prize will be awarded that consists of a 4-day/3-night Luxury Included ® Vacation for the winner and one (1) guest (“Guest”) to the Sandals Royal Bahamian Spa Resort & Offshore Island in Nassau, Bahamas (www.sandals.com) located at Nassau Bay Street – Nassau, New Providence Bahamas (“Sandals Royal Bahamian”). The trip package includes (i) round trip coach air transportation for two (2) provided by JetBlue Corporation in the form of travel certificates (the “Travel Certificates”). Each Travel Certificate will be good for a round trip flight from one of the JetBlue gateway airports closest to winner’s residence, in Sponsor’s discretion, to the airport in Nassau, Bahamas (“NAS”), (ii) round trip ground transportation from NAS, to and from Sandals Royal Bahamian, (iii) three (3) nights of hotel accommodations in a double occupancy room at Sandals Royal Bahamian, (iv) unlimited dining during their stay at the Sandals Royal Bahamian, (v) daily and nightly entertainment at Sandals Royal Bahamian, (v) all land and water sports, including scuba diving (for certified divers) at Sandals Royal Bahamian, and (vi) all gratuities at Sandals Royal Bahamian Resort. This Grand Prize trip must be taken by 12/24/2010. Reservations will not be confirmed until 30 days prior to the selected travel date. Winner will be responsible for a processing fee of $25.00 per room, per night double occupancy. Sandals Royal Bahamian reserves the right to relocate any confirmed prize winner from their resort of choice to an alternate resort within their chain based upon availability of space for the secured travel dates and no further compensation will be given. Actual value of Grand Prize trip may vary based upon where winner resides, departure city and price fluctuations. Travel Certificates are non-refundable/non-transferable and may not be valid for upgrades and/or frequent flyer mileage/TruBlue Points. Administrator will work with Winner and Guest to redeem the Travel Certificates and book their air transportation. The Travel Certificates have an approximate retail value of $299 and are valid for one (1) year from issuance and all travel must be booked and flown within the valid dates shown on the certificate. All air transportation tickets are subject to the vagaries of flight variation, blackout dates, work stoppages and schedule or route changes, capacity control limits. Redeemed travel is subject to availability and seats may not be available on all flights. Use of the certificate is subject to additional terms and conditions and other restrictions may apply. Any difference between the stated ARV and the actual value of the trip will not be awarded in cash or any other form of compensation. In the event Grand Prize winner and/or Guest engage in behavior that (as determined by Sponsor in its sole discretion) is obnoxious or threatening, illegal, or that is intended to annoy, abuse, harass or threaten any other person, Sponsor reserves the right to terminate the trip or other applicable experiences early, in whole or in part, and send Grand Prize winner and/or Guest home early without further compensation. Winner and Guest must travel on the same itinerary. If Winner is deemed a minor in his/her state of residence, he/she must be accompanied by a parent or legal guardian as Guest. Otherwise, guest must be of legal age of majority in his or her state of residence. Winner and Guest are solely responsible for obtaining all necessary travel documents prior to departure date (e.g. Passport). All other expenses and costs not expressly listed above, including but not limited to, gratuities, Red Lane ® Spa treatments and services or specialty dining at Sandals Royal Bahamian, transportation to the Jetblue gateway airport nearest winner’s residence, tours and excursions, inter-island transportation, scuba certification courses, luggage fees, entry/exit fees, taxes, customs, fees, surcharges for each paper ticket issued where electronic ticketing is available, segment fees, and purchases made during a trip, are entirely the Grand Prize winner’s responsibility. The prize is nontransferable and non-refundable and must be accepted as awarded. Sponsor has the final authority on the interpretation of these prize terms.

Five (5) First Prizes (ARV: $2500 each): Five (5) First Prizes will be awarded in the form of one (1) two thousand five hundred dollar ($2,500) Loehmann’s gift certificates to each winner.
Ten (10) Second Prizes (ARV: $1,000 each): Ten (10) Second Prizes will be awarded in the form of ten (10) one thousand dollar ($1,000) Loehmann’s gift certificates to each winner.
One (1) Third Prize (ARV: $1,000): One (1) Third Prize will be awarded in the form of one (1) one thousand dollar ($1,000) SpaFinder gift certificate.
Two (2) Fourth Prizes (ARV: $500 each): Two (2) Fourth Prizes will be awarded in the form of one (1) five hundred dollar ($500) Salon Wish gift certificate to each winner. Restrictions and an expiration date may apply to all gift certificates awarded as First Prizes, Second Prizes, Third Prizes and Fourth Prizes.

6. GENERAL PRIZE CONDITIONS: Prizes will be awarded only if the potential winners fully comply with these Official Rules. Limit: one prize per person/household. Prizes are non-assignable and non-transferable. The prize winners shall be solely responsible for all federal, state and/or local taxes, and the reporting consequences thereof, and for any other fees or costs associated with the prizes. No cash alternative or substitution of prizes allowed, except that Sponsor reserves the right, in its sole and absolute discretion, to substitute a prize of equal or greater value, if the prize is unavailable, in whole or in part, for any reason. The potential winners of prizes valued at over $599 will be required to execute an Affidavit of Eligibility, a Liability Release, and (where imposing such condition is legal) a Publicity Release (collectively, “Prize Claim Documents”). If any potential winner fails or refuses to sign and return all Prize Claim Documents within five (5) days of prize notification (or such shorter time if exigencies so require), the winner may be disqualified and an alternate potential winner will be selected. The Grand Prize winner’s Guest must sign and return a Liability/Publicity Release as well, prior to travel. Prizes are awarded “AS IS” and WITHOUT WARRANTY OF ANY KIND, express or implied, including, without limitation, any implied warranty of merchantability or fitness for a particular purpose.

7. PRIVACY: Sponsor will use the information obtained from participation in this Sweepstakes in accordance with Sponsor’s privacy policy, available at www.Loehmanns.com. By entering the sweepstakes, entrant affirms that they have read, accepted and agreed to be bound by these Official Rules and the terms and conditions of said privacy policy.

8. GENERAL LIABILITY RELEASE / FORCE MAJEURE: Acceptance of a prize constitutes winner’s permission for Sponsor to use winner’s name, photograph, likeness, voice, biographical information, statements and address (city and state) for advertising and/or publicity purposes worldwide and in all forms of media now known or hereafter developed, in perpetuity, without further compensation (where legal). Entrant agrees that the Released Parties A) shall not be responsible or liable for, and are hereby released from, any and all costs, injuries, losses or damages of any kind, including, without limitation, death and bodily injury, due in whole or in part, directly or indirectly, to participation in the Sweepstakes or any Sweepstakes-related activity, or from entrants’ acceptance, receipt, possession and/or use or misuse of any prize, and B) have not made any warranty, representation or guarantee, express or implied, in fact or in law, with respect to any prize, including without limitation, to such prize’s quality or fitness for a particular purpose. Sponsor assumes no responsibility for incomplete, illegible, misdirected, misprinted, late, lost, damaged, stolen, or postage-due submissions or prize notifications. Sponsor reserves the right in its sole discretion to disqualify any individual who is found to be tampering with the entry process or the operation of the Sweepstakes, to be acting in violation of these Official Rules, or to be acting in an unsportsmanlike or disruptive manner, or with the intent to disrupt or undermine the legitimate operation of the Sweepstakes, or to annoy, abuse, threaten or harass any other person, and Sponsor reserves the right to seek damages and other remedies from any such person to the fullest extent permitted by law. No mechanically reproduced, illegible, incomplete, forged, or software generated entries will be accepted. These Official Rules cannot be modified or amended in any way except in a written document by a duly authorized representative of Sponsor. The invalidity or unenforceability of any provision of these Official Rules shall not affect the validity or enforceability of any other provision. In the event that any provision is determined to be invalid or otherwise unenforceable or illegal, these Official Rules shall otherwise remain in effect and shall be construed in accordance with their terms as if the invalid or illegal provision were not contained herein. If for any reason, the Sweepstakes is not capable of running as planned, including tampering, unauthorized intervention, fraud, technical failures, acts of god, or any other cause which could effect the administration, security, fairness or integrity of the Sweepstakes, Sponsor reserves the right, in its sole discretion, to cancel, modify or terminate the Sweepstakes. In the event of such cancellation, prizes will be awarded in a random drawing from all eligible, non-suspect entries received prior to cancellation, if any.

9. GOVERNING LAW/JURISDICTION: ALL ISSUES AND QUESTIONS CONCERNING THE CONSTRUCTION, VALIDITY, INTERPRETATION AND ENFORCEABILITY OF THESE OFFICIAL RULES OR THE RIGHTS AND OBLIGATIONS OF ENTRANTS OR SPONSOR IN CONNECTION WITH THE SWEEPSTAKES SHALL BE GOVERNED BY AND CONSTRUED IN ACCORDANCE WITH THE INTERNAL LAWS OF THE STATE OF NEW YORK WITHOUT GIVING EFFECT TO ANY CHOICE OF LAW OR CONFLICT OF LAW RULES OR PROVISIONS THAT WOULD CAUSE THE APPLICATION OF ANY OTHER STATE’S LAWS.

WINNER'S LIST/OFFICIAL RULES: To obtain a copy of the winners list, after the Sweepstakes has ended, send a self-addressed stamped envelope to: The Win IT at Loehmann’s 2009 Holiday Sweepstakes, c/o NMA Entertainment & Marketing, 71 Elm Street, Unit 8, Foxboro, MA 02035. All winners list requests must be postmarked by 1/18/10 and received no later than 1/25/10.
